These Terms and Conditions explain the rights, responsibilities, and payment terms that apply when you use our website, request our services, or subscribe to our products. By using our website, requesting a service, or making a purchase, you agree to the terms described below.

Agreement to These Terms

These Terms and Conditions ("Terms") form an agreement between you ("Client", "you", "your") and Sahil Solutions ("we", "us", "our"). By making an enquiry, accepting a proposal, subscribing to a plan, or making a payment, you confirm that you have read, understood, and agree to be bound by these Terms.

Our Services

We provide software and web development services, custom applications, and SaaS products, available on both subscription and one-time payment plans.

  • Website, frontend, backend, and full-stack application development
  • Custom software, business systems, and automation solutions
  • Third-party integrations, new feature development, and upgrades
  • SaaS products available as recurring subscriptions or one-time purchases
  • Maintenance, support, and long-term development partnerships

Proposals & Project Initiation

Development projects begin with a written proposal or quotation outlining scope, timeline, and pricing.

  • Proposals remain valid for 14 calendar days unless stated otherwise
  • Written approval or payment of a deposit is treated as acceptance of the proposal
  • An accepted proposal becomes part of these Terms
  • Work outside the agreed scope may require a separate quotation and approval

Fees, Subscriptions & Payment

Fees for services and SaaS products are specified in the applicable proposal, invoice, or product page.

  • Development projects typically require a deposit before work begins, with the balance due before final handover
  • Subscription plans are billed on a recurring basis until cancelled by you
  • One-time purchases grant access as described at the time of purchase, without recurring billing
  • Invoices are payable within 14 days unless otherwise agreed
  • Applicable taxes may be added where required by law
  • Accepted payment methods are specified at checkout or on the invoice

Invoices & Late Payment

Invoices may be issued for deposits, milestones, subscriptions, one-time purchases, or additional work.

  • Any invoice dispute must be raised in writing within 7 calendar days of the invoice date
  • Undisputed amounts remain payable according to the stated payment terms
  • Overdue invoices may result in paused work, suspended access, or withheld deliverables until payment is received
  • Reasonable late-payment fees or interest may apply where permitted by law
  • Reasonable recovery costs may be added where permitted by applicable law

Revisions & Change Requests

Included revision rounds, where applicable, are defined in the project proposal.

  • Minor adjustments to approved work are treated as revisions
  • New features or functionality are treated as change requests and may be quoted separately
  • Major redesigns or architectural changes fall outside standard revision scope

Timelines & Delays

Estimated timelines are provided in good faith and depend on timely cooperation from the client.

  • Late provision of content, assets, credentials, or approvals may extend agreed timelines
  • Approved scope changes may affect delivery dates
  • External dependencies and events outside our control may also impact schedules

Project Suspension & Abandonment

Timely communication is needed for successful project delivery.

  • Project timelines pause during periods where required client input is unavailable
  • Projects inactive for more than 30 consecutive days may be classified as inactive
  • Projects inactive for more than 60 consecutive days may be considered abandoned and closed
  • Payments already made remain non-refundable
  • Resuming an abandoned project may require a revised proposal and updated pricing

Deliverable Review & Acceptance

Project deliverables go through a review process to keep work moving forward.

  • The client should review deliverables and provide feedback within 3 business days
  • Deliverables are considered accepted if no response is received within 7 business days
  • Requests for changes after acceptance may be treated as new work and quoted separately

Client Responsibilities

To help projects run smoothly, the client agrees to:

  • Provide content, assets, credentials, and approvals in a timely manner
  • Designate a primary point of contact for the project
  • Respond to questions and review requests within 3 business days
  • Ensure any materials supplied are legally owned or properly licensed
  • Maintain their own backups of systems and data

Client Materials & Representations

The client is responsible for the accuracy and legality of any materials it provides.

  • The client confirms it owns or has the necessary rights to any content, assets, or materials supplied to us
  • We may rely on the accuracy and legality of client-provided materials without independently verifying them
  • Any issues arising from unlawful or unauthorised materials supplied by the client remain the client's responsibility

Independent Relationship

We provide services as an independent business and not as an employee, partner, or agent of the client, and this relationship does not create employment, partnership, or agency obligations between the parties.

Intellectual Property & Ownership

Ownership of custom deliverables transfers to the client once payment has been received in full.

  • No ownership rights transfer until all related invoices have been paid in full
  • Open-source frameworks and third-party software remain subject to their own licences
  • We retain ownership of our pre-existing tools, frameworks, templates, and reusable components
  • The client receives a licence to use any reusable components included in the delivered project
  • We may reuse general-purpose code, components, and development practices across other projects
  • We may showcase non-confidential project work in our portfolio and marketing materials unless otherwise agreed in writing

Confidentiality

Both parties agree to protect confidential information shared during the engagement.

  • Confidential information includes business plans, credentials, source code, and other non-public business information
  • Confidential information will not be shared with third parties without consent, unless required by law
  • This obligation continues after the project or subscription ends

Indemnification

The client agrees to be responsible for claims arising from circumstances within its control.

  • This includes claims arising from content, materials, or instructions provided by the client
  • This includes claims arising from the client's unlawful use of the deliverables or violation of applicable laws
  • This includes claims arising from changes made by the client or third parties after delivery

Third-Party Tools & Services

Projects and SaaS products may rely on third-party software, APIs, hosting, and payment providers.

  • Third-party fees, such as hosting, domains, or subscriptions, are the client's responsibility unless included in the proposal
  • We are not responsible for outages, changes, or issues caused by third-party providers

Security & Limitations

We follow reasonable security practices, but no software or online service can be guaranteed completely error-free or secure.

  • We are not responsible for vulnerabilities originating from third-party dependencies or hosting environments
  • Clients are responsible for keeping their own accounts, credentials, and systems secure
  • Formal security audits or certifications are not included unless expressly agreed

Maintenance & Support

Ongoing maintenance, monitoring, and support are not included after delivery unless expressly agreed or covered under a support plan or active subscription.

  • Work requested after project completion may be quoted and billed separately
  • Maintenance retainers and support plans require a separate written arrangement
  • SaaS subscriptions include the features and support described on the relevant product page for as long as the subscription remains active

Warranty

For development projects, we provide a 30-day bug-fix warranty following final delivery.

  • The warranty covers reproducible defects caused by our code that existed at the time of delivery
  • Client modifications or third-party changes to the delivered project may void warranty coverage for affected areas
  • New features, design changes, and content updates are not covered by the warranty

Limitation of Liability

To the fullest extent permitted by applicable law, our liability is limited as follows.

  • Our total liability for any claim shall not exceed the amount you actually paid us for the relevant service or subscription
  • We are not liable for indirect, incidental, or consequential damages, including loss of profits, revenue, or data
  • We are not responsible for losses caused by third-party services, hosting providers, or circumstances beyond our reasonable control
  • No guarantee is made regarding revenue, traffic, rankings, or other business outcomes resulting from use of our services or products

Cancellation & Termination

Either party may cancel or terminate an engagement or subscription, subject to the terms below.

  • The client remains responsible for payment for all work completed or services used up to the date of cancellation
  • Deposits and payments for completed work are non-refundable once work has commenced, unless required by law
  • Subscriptions may be cancelled at any time and will remain active until the end of the current billing period
  • Completed deliverables and files will be provided once all outstanding invoices have been paid in full
  • We may suspend or terminate services in cases of non-payment, misuse, unlawful activity, or a material breach of these Terms

Dispute Resolution & Governing Law

We aim to resolve any disagreement fairly and directly before pursuing formal action.

  • Both parties will first attempt to resolve disputes through good-faith discussion
  • These Terms are governed by the laws of India
  • Courts of competent jurisdiction in India shall have jurisdiction over any dispute relating to these Terms

Force Majeure

Neither party is liable for delays or failures caused by events beyond their reasonable control, such as natural disasters, internet outages, or government actions.

Minors & Guardian Responsibility

Our services and SaaS products are intended for individuals who have reached the legal age required to enter into a binding contract in their respective country or jurisdiction.

  • If a payment or purchase is made by, or on behalf of, an individual who has not reached the legal age applicable in their jurisdiction, the parent or legal guardian who authorised or permitted such payment shall be responsible for that payment and any related obligations
  • We do not knowingly enter into paid engagements directly with individuals below the legal age applicable in their jurisdiction
  • If we become aware that a purchase or subscription was made by someone below the applicable legal age without appropriate parental or guardian consent, we may suspend or cancel the relevant account or service
  • The company shall not be held liable for payments made by a minor without the knowledge or consent of their parent or legal guardian

Changes to These Terms

We may update these Terms from time to time to reflect changes in our services or applicable law.

  • The version in effect at the time you accept a proposal or subscribe to a product governs that engagement
  • Updated Terms will be published on this website with a revised date
  • Continued use of our services or products after changes are published constitutes acceptance of those changes

Entire Agreement

These Terms, together with any proposal, invoice, or written agreement, form the entire agreement between you and Sahil Solutions, and supersede any prior discussions or understandings on the same subject.
